Terms of Service

Effective date: 23 May 2026

1. Acceptance of terms

By accessing or using SpendLeak (“the Service”), operated by SpendLeak (“we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are notified constitutes acceptance of the updated Terms.

2. Description of service

SpendLeak is a spend intelligence service that analyses your financial transaction data to identify recurring charges, price changes, duplicate vendor payments, and other spend patterns (“Findings”). The Service operates on data you supply, either by CSV upload or via authorised accounting software integrations.

SpendLeak surfaces findings as candidates for your review. You are responsible for all decisions made in response to those findings. SpendLeak does not provide financial, legal, or accounting advice.

3. Account registration and responsibilities

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorised access to your account
  • Be responsible for all activity that occurs under your account

You must be at least 18 years old to use the Service. If you are registering on behalf of an organisation, you represent that you have authority to bind that organisation.

4. Subscription plans and payment

SpendLeak offers a free tier and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis as selected at signup. All prices are quoted in Australian dollars (AUD) and include GST where applicable.

Cancellation

You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Changes to pricing

We may change subscription prices with at least 30 days' written notice. If you do not cancel before the price change takes effect, you will be billed at the new rate.

Free tier

The free tier is provided as-is with no service level commitments. We reserve the right to limit or modify the free tier at any time.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload transaction data belonging to third parties without their explicit authorisation
  • Attempt to reverse-engineer, decompile, or otherwise derive source code from the Service
  • Use automated means to scrape, crawl, or extract data from the Service
  • Circumvent any access controls or security measures
  • Upload content that is fraudulent, misleading, or infringes on third-party rights
  • Use the Service in a way that could damage, overburden, or impair it

6. Your data

You retain all ownership rights to the transaction data and other content you upload to SpendLeak (“Your Data”). By using the Service, you grant us a limited, non-exclusive licence to process Your Data solely for the purpose of providing the Service to you.

We do not claim ownership of Your Data, sell it, or use it to train machine learning models. When you close your account, Your Data will be deleted within 30 days.

You are responsible for ensuring you have the right to upload any data you provide to the Service, including that it does not violate any third-party rights or applicable law.

7. Intellectual property

The Service, including its software, design, trademarks, and content (excluding Your Data), is owned by SpendLeak and protected by Australian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

SpendLeak does not warrant that: (a) the Service will be uninterrupted or error-free; (b) findings generated by the Service are complete or accurate; or (c) the Service will meet your specific requirements. Findings are provided for informational purposes only.

9. Limitation of liability

To the maximum extent permitted by law, SpendLeak's total liability to you for any claim arising out of or in connection with these Terms or the Service is limited to the amount you paid to us in the three months immediately preceding the event giving rise to the claim.

SpendLeak is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of your use of or inability to use the Service.

Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law or other applicable law (including statutory guarantees under the Competition and Consumer Act 2010 (Cth)).

10. Indemnification

You agree to indemnify, defend, and hold harmless SpendLeak and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from: (a) your use of the Service; (b) Your Data; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

11. Termination

You may terminate your account at any time from your account settings. We may suspend or terminate your access to the Service immediately, without prior notice, if we believe you have breached these Terms, engaged in fraudulent or illegal activity, or if required by law.

On termination, your right to use the Service ceases. Sections 6 (Your Data — deletion obligations), 7, 8, 9, 10, and 13 survive termination.

12. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that affect paid subscribers.

13. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms or your use of the Service.

Before commencing legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of at least 30 days.
